In <\/span><a href=\"https:\/\/nvca.org\/pressreleases\/u-s-venture-capital-soars-to-new-highs-in-2021\/#:~:text=The%20top%2Dline%20figures%20for,mark%20for%20the%20first%20time.\"><span style=\"font-weight: 400;\">2021<\/span><\/a><span style=\"font-weight: 400;\">, $329.9 billion was invested across an estimated 17,054 deals. However, despite the record breaking year and continued growth in the economy, the latest data indicates the venture capital market is retreating in the first months of 2022.<\/span><\/h2>\n<\/blockquote>\n<p><span style=\"font-weight: 400;\">According to recent <\/span><a href=\"https:\/\/techcrunch.com\/2022\/03\/16\/new-data-shows-how-far-vcs-are-pulling-back-on-us-series-a-b-and-c-valuations\/\"><span style=\"font-weight: 400;\">data<\/span><\/a><span style=\"font-weight: 400;\">, round sizes from the Series A to C stages in the United States are in decline. This shift signals a less competitive market for investors looking to find a deal. However, it could signal trouble for startup founders looking for venture financing.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">As a result, startup founders need to be prepared when opportunity strikes. That&#8217;s why venture financing expert <a href=\"https:\/\/www.linkedin.com\/in\/brian-dillavou-1502ab53\/\">Brian Dillavou<\/a> recommends founders have a firm understanding of venture financing term sheets before stepping up to the deal table.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Dillavou is a partner at legal services firm <a href=\"https:\/\/www.wsgr.com\/en\/\">Wilson Sonsini Goodrich &amp; Rosati<\/a> where he advises startups and early-stage businesses on corporate legal issues; venture capital and other financings; stock options and other compensation matters; and M&amp;A and capital markets transactions. They lay out the conditions and agreements of venture investments between startups and venture firms. The documents include the specifics of a VC investment such as the valuation, dollar amount raised, class of shares, investor rights, and investor protection clauses. However, the data also indicates that late stage deal valuations are declining, which could trickle down to other markets.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">However, despite this forecast, Dillavou says it\u2019s important to remember that valuations are only one factor in the <a href=\"https:\/\/foundersnetwork.com\/blog\/preparing-for-a-venture-financing-with-robert-suffoletta\/\">venture financing<\/a> term sheet equation.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">\u201cThe term sheet with the highest valuation isn\u2019t always the best term sheet,\u201d Dillavou says.\u00a0 \u201cFounders should evaluate a term sheet based on all of the terms provided, not just the valuation.\u201d<\/span><\/p>\n<span class='bctt-click-to-tweet'><span class='bctt-ctt-text'><a href='https:\/\/x.com\/intent\/tweet?url=https%3A%2F%2Ffoundersnetwork.com%2F%3Fp%3D20718&#038;text=Research%20indicates%20that%20for%20each%20deal%20in%20which%20a%20VC%20firm%20eventually%20invests%20or%20closes%2C%20the%20firm%20considers%20roughly%20100%20potential%20opportunities.&#038;related' target='_blank'rel=\"noopener noreferrer\">Research indicates that for each deal in which a VC firm eventually invests or closes, the firm considers roughly 100 potential opportunities. <\/a><\/span><a href='https:\/\/x.com\/intent\/tweet?url=https%3A%2F%2Ffoundersnetwork.com%2F%3Fp%3D20718&#038;text=Research%20indicates%20that%20for%20each%20deal%20in%20which%20a%20VC%20firm%20eventually%20invests%20or%20closes%2C%20the%20firm%20considers%20roughly%20100%20potential%20opportunities.&#038;related' target='_blank' class='bctt-ctt-btn'rel=\"noopener noreferrer\">Share on X<\/a><\/span>\n<h3><span style=\"font-weight: 400;\">Common Mistakes<\/span><\/h3>\n<p><span style=\"font-weight: 400;\">Making it to the term sheet stage is rare. <\/span><a href=\"https:\/\/sites.insead.edu\/facultyresearch\/research\/file.cfm?fid=61159\"><span style=\"font-weight: 400;\">Research<\/span><\/a><span style=\"font-weight: 400;\"> indicates VC firms consider roughly 100 potential opportunities for each deal they close. One in four opportunities leads to meeting. One-third of those are reviewed at a partners meeting. Additionlly, roughly half of the opportunities reviewed at a partners meeting proceed to the due diligence stage. Upon reaching the due diligence stage, startups are offered a term sheet in about a third of cases.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Startup founders who make it to the venture financing term sheet phase need to avoid making mistakes that could cost them a deal or lead to a bad deal in the long run. As a result, it\u2019s important to be prepared.
